First of all you DON'T want to do this if you don't have to. Most USB cable modems also have a network connector. If yours does then just connect it to a router via the network connection and connect your computers to the router.
If you have no choice then you have to use Windows ICS (Internet Connection Sharing). Assuming you have a network interface on your computer, right click on the Local Area Connection icon for the modem in your Network Connections window. Click on the Advanced tab and enable ICS. Connect the two computers together using either a crossover cable or a network switch.
The HOSTing computer needs to be turned on for the other computer to surf. Also while the Windows firewall shouldn't interfere with ICS, 3rd party firewalls may.

Unfortunatly I have no choice, as the modem only has the USB connection at the back, and even the internal PCI router didnt work!!! I have the network set up and working just fine, and the local area connection icon for the USB modem is set for sharing, but the second computer still cannot find the internet. (using AOL as the ISP)
